Appendix 1: Provisions of the French Consumer Code – Legal Warranty of Conformity

Article L211-4
The seller is required to deliver goods that conform to the contract and is liable for any lack of conformity existing at the time of delivery.
They are also liable for any lack of conformity resulting from the packaging, assembly instructions, or installation when the latter was their responsibility under the contract.

Article L211-5
To conform to the contract, the product must:
1° Be suitable for the intended use of similar goods and, where applicable:

  • Match the description given by the seller and possess the qualities presented to the buyer as a sample or model;

  • Have the qualities a buyer may reasonably expect given the public statements made by the seller, producer, or their representative, including in advertising or labeling;
    2° Or have the characteristics defined by mutual agreement or be suitable for any special use made known by the buyer to the seller and accepted by the latter.

Article L211-6
The seller is not bound by public statements made by the producer or their representative if it is proven they did not know them and were not legitimately in a position to know them.

Article L211-7
Lack of conformity that appears within six months of delivery is presumed to have existed at the time of delivery, unless proven otherwise.
The seller may rebut this presumption if it is incompatible with the nature of the goods or the lack of conformity.

Article L211-8
The buyer has the right to demand conformity. They cannot contest conformity by invoking a defect they knew or could not have ignored at the time of purchase. The same applies when the defect originates from materials provided by the buyer.

Article L211-9
In case of lack of conformity, the buyer may choose between repair or replacement of the product.
However, the seller may opt for the alternative if the buyer's choice results in a cost clearly disproportionate to the other option, considering the value of the product or the importance of the defect.

Article L211-10
If repair or replacement is impossible, the buyer may return the product and get a refund, or keep the product and receive a partial refund.
This also applies:
1° If the requested solution cannot be implemented within one month of the buyer’s claim;
2° Or if the solution presents a major inconvenience for the buyer given the nature of the goods and their intended use.
Termination of the sale cannot be pronounced if the lack of conformity is minor.

Article L211-11
Articles L211-9 and L211-10 apply at no cost to the buyer.
These provisions do not prevent the awarding of damages.

Article L211-12
Legal action due to lack of conformity must be taken within two years of delivery.

Article L211-13
These provisions do not deprive the buyer of any legal action resulting from hidden defects under Articles 1641 to 1649 of the Civil Code or any contractual or extra-contractual remedy available by law.

Article L211-14
A recourse action may be exercised by the final seller against prior sellers or intermediaries, and the producer of the goods, in accordance with the Civil Code.


Appendix 2: Provisions of the French Civil Code – Warranty Against Hidden Defects

Article 1641
The seller is bound to guarantee against hidden defects that make the product unfit for its intended use or that significantly reduce such use to the extent that the buyer would not have acquired it, or would have paid a lower price, had they known.

Article 1642
The seller is not liable for apparent defects which the buyer could have noticed.

Article 1642-1
The seller of a property under construction cannot be released, before the completion of the work or before one month after the buyer takes possession, from liability for visible defects or non-conformities.
The contract cannot be canceled, nor the price reduced, if the seller agrees to repair them.

Article 1643
The seller is liable for hidden defects even if unaware of them, unless otherwise stated in the contract.

Article 1644
In the cases of Articles 1641 and 1643, the buyer may return the item and get a full refund, or keep it and receive a partial refund as determined by experts.

Article 1645
If the seller knew about the defects, they are liable for damages in addition to refunding the price.

Article 1646
If the seller did not know the defects, they are only required to refund the price and reimburse the costs incurred by the buyer.

Article 1646-1
The seller of a property under construction is liable, from the date of completion, for the same obligations as architects, contractors, or other service providers under Articles 1792 to 1792-3 of the Civil Code.
These warranties apply to all future property owners.
The contract cannot be canceled nor the price reduced if the seller agrees to repair the damage under Articles 1792, 1792-1, and 1792-2, and uphold the warranty of Article 1792-3.

Article 1647
If the item perishes due to its defect, the loss is borne by the seller, who must refund the price and compensate as described above.
If the loss is due to chance, it is borne by the buyer.

Article 1648
Legal action for hidden defects must be initiated within two years of discovering the defect.
For Article 1642-1, the action must be filed within one year after the seller can be released from responsibility for visible defects.

Article 1649
This warranty does not apply to court-ordered sales.
